These Terms and Conditions (“Terms”) govern the agreement between OZ88media (“we,” “us,” or “our”) and the client (“you” or “your”) for web development and design services. By engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Project Scope and Agreement:

• • The specific scope of the project, including deliverables, timelines, and pricing, will be outlined in a separate project proposal or contract (the “Agreement”) provided to you. This Agreement, once signed by both parties, forms an integral part of these Terms.
  • Any changes to the agreed-upon scope will require a written amendment signed by both parties. Additional costs may apply for changes outside the original scope.

2. Payment Terms:

• • Payment schedules will be detailed in the Agreement. Typically, projects are broken down into milestones with payments due upon completion of each milestone.
  • We accept Bank Transfer, Credit/Debit Cards, PayPal, Cryptocurrency.
  • Late payments may incur a 10% late fee.
  • Ownership of the website and its components (excluding pre-existing third-party software or components) will transfer to you upon full payment of all invoices.

3. Client Responsibilities:

• • You are responsible for providing us with all necessary content, information, and approvals required for the project in a timely manner. Delays in providing these may impact project timelines.
  • You are responsible for ensuring you have the legal rights to use any content you provide to us, including text, images, and trademarks.
  • You are responsible for reviewing and approving all deliverables at each milestone stage.

4. Our Responsibilities:

• • We will perform the services outlined in the Agreement to the best of our ability and within the agreed-upon timelines.
  • We will communicate regularly with you regarding project progress.
  • We will maintain the confidentiality of any information you provide to us.

5. Intellectual Property:

• • Unless otherwise agreed in writing, we retain ownership of any pre-existing intellectual property used in the development of the website, including code, tools, and methodologies.
  • You own the rights to the content you provide, and you grant us a non-exclusive license to use this content for the purpose of the project.
  • Upon full payment, you will own the final website design and code, excluding any third-party components.

6. Website Maintenance and Support:

• • Ongoing website maintenance and support are not included in the initial project price unless explicitly stated in the Agreement. We offer maintenance and support packages that can be purchased separately.

7. Warranties and Disclaimers:

• • We warrant that the website will be developed to a professional standard and will be functional as described in the Agreement.
  • We do not warrant that the website will be error-free or compatible with all browsers and devices.
  • We disclaim all liability for any loss or damage arising from the use of the website, including but not limited to lost profits, data loss, or business interruption.

8. Termination:

• • Either party may terminate the Agreement with written notice if the other party breaches these Terms.
  • Upon termination, you will be responsible for paying for any work completed up to the termination date.

9. Governing Law:

• • These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia.

10. Entire Agreement:

• • These Terms, together with the Agreement, constitute the entire agreement between you and us regarding the services provided.
